1. Acceptance of Terms

By creating an account or using OfferPresenter ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. We may update these Terms from time to time, and continued use after changes are posted constitutes acceptance.

2. Description of Service

OfferPresenter is a tool for licensed real estate professionals. It helps you create professional offer presentation packages and multi-offer comparison reports by extracting data from documents you upload and generating cover letters, email drafts, and comparison grids.

3. Eligibility

You must be at least 18 years old and a licensed real estate professional (or acting on behalf of one) to use the Service. By using the Service, you represent that you meet these requirements.

4. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. The information you provide (name, brokerage, contact details, and logo) must be accurate and current. Notify us immediately if you suspect unauthorized access to your account.

5. Acceptable Use

You agree to:

Only upload documents that you are authorized to use and share
Use the Service only for legitimate real estate business purposes
Not attempt to reverse-engineer, copy, or misuse the Service
Not upload documents containing malware or malicious content
Not use the Service in any way that violates applicable law or regulation
Not share your account credentials with others or allow others to access the Service through your account

6. Your Documents and Content

You retain ownership of the documents you upload and the content you provide. By uploading documents, you grant us a limited license to process them for the purpose of providing the Service (data extraction, cover letter generation, comparison reports, and PDF merging). We do not claim ownership of your content.

You are solely responsible for the accuracy and legality of the documents you upload and the information they contain.

7. AI-Generated Content

OfferPresenter uses artificial intelligence to extract data from your documents and generate cover letters, email drafts, and comparison reports. While we strive for accuracy, AI-generated content may contain errors or omissions.

You are responsible for reviewing all generated content before using or sending it. Do not rely on AI-generated output without verification. OfferPresenter is a productivity tool, not a substitute for professional judgment.

8. Pricing and Payment

Your first offer package is free. After that, a paid subscription is required for continued use. Pricing is displayed on our website and may change with notice. Subscriptions renew automatically unless cancelled. You may cancel your subscription at any time, and cancellation takes effect at the end of the current billing period.

Refunds are handled on a case-by-case basis. Contact us if you have billing concerns.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or complete.

OfferPresenter is not a legal, financial, or real estate advisory service. The generated content (cover letters, email drafts, offer summaries, and comparison reports) is for informational and convenience purposes only. It does not constitute professional advice and should not be relied upon as such.

10. Limitation of Liability

To the fullest extent permitted by law, OfferPresenter and its owners, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, but is not limited to, damages resulting from errors in AI-generated content, data extraction inaccuracies, service interruptions, or loss of data.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless OfferPresenter and its owners, employees, and service providers from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may close your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in California.
